Channel Partner Registration Clauses
Non-Disclosure Clauses & Brand Marketing Guidelines to be strictly adhered by Channel Partner/s are as follows:

  1. Any communication (including but not limited to print advertisement, web, outdoor or Email) carrying company or any project logo before publishing has to be approved in writing by a TREC’s designated associate.
  2. No part of the brochures or any controlled circulation material shared for training or indicative purposes shall be circulated to an external member without prior written/email approved by a TREC’s designated associate.
  3. No SMS and Email communication directly or indirectly mentioning TREC project can be circulated either en-masse or individually to any third party without explicit written approval/consent from a TREC designated associate. Once it is approved in writing, content of SMS/Email cannot be changed.
  4. Usage of any of the partners involved with TREC in any project in any written, printed, electronic or any other form of communication is strictly prohibited, unless explicitly approved in writing by a TREC’s designated associate.
  5. Any digital/online/web representation including website, blogs, microsite, landing page/social media marketing, online property portals cannot be created/hosted which directly or indirectly shares details/information on the TREC projects without prior written approval granted by an authorized TREC representative. The Channel Partner is not allowed/authorized to use the company logo, images from the company’s marketing material/brochure/presentation/profile/images or logos of partners involved in the project on their respective website/brochure/marketing material/social media without the prior written approval as granted by an authorized TREC representative.
  6. All approvals have to be accorded in written or through email and no oral approvals will be solicited or accepted.
  7. The materials shared by TREC are internal documents which are solely our property and cannot be shared with any external party.
  8. The project information for which vendor/partner is working with TREC would be kept strictly confidential and limited to internal members only.
  9. Any violation of the above mentioned guidelines shall constitute a serious breach of trust, and shall lead to cancellation of commercial contract, forfeiture of all outstanding payment due. (Including commission and other receivables from TREC and its associated companies) in addition to strict legal action by TREC and the partner companies.
  10. The registration process implies a default extension to all partner companies/subsidiaries/SPV entities under TREC. By signing this agreement, the channel partner by default gets enlisted with all the above entities.
  11. The company logo for sales, marketing and lead generation activity cannot be used without the prior written/documented approval as granted by an authorized TREC representative.

Terms & Conditions for Appointment of a Channel Partner

  1. In consideration of the services provided by the Channel Partner, the company shall pay the Commission to the Channel Partner in the following manner**:
  2. As discussed, the total consideration in respect of any unit sold in any ongoing or upcoming project of TREC, shall be payable upon receipt of 20% of the total consideration by the customer to the company or on the execution and registration of the agreement, whichever is earlier.
  3. All payments to the Channel Partner shall be made after deduction of applicable taxes. The payment shall at all times be subject to applicable policies, laws, orders and regulations.
  4. The Channel Partner shall raise an invoice for the amounts payable by the company after the deal is logged in the system of the company, which shall be informed to the Channel Partner through the respective Sales Manager/Channel Partner help desk. Each invoice shall be delivered to the respective site office / head office by courier or by delivery.
  5. For Domestic Channel Partners': At the time of registration/appointment of Channel Partner, PAN card and GST no. is mandatory, if GST no. is not provided, the same will not be reimbursed.

  9. The documents for non-deduction of taxes, if any, as per Double Taxation Avoidance Agreement (DTAA) have to be provided by them or else applicable taxes shall be deducted as per the prevailing Indian Taxation laws.
  10. Payment will not be released for any alternate payee name or if there exists a name mismatch between organization name (mentioned in the CP registration form) and cheque favoring/beneficiary name.
  11. Subject to the fulfillment of mentioned clauses herein, the commission will be released within 30 days post payment of 20% of the total consideration in respect of the unit and post receipt of the invoice by the company. All payment shall be made post deduction of tax at source.
  12. Booking of a unit/flat through a Channel Partner (CP) will be recognized only if:
  13. The CP accompanies the client during their 1st site visit and is also present at the time of the booking being made.
  14. At the time of 'welcome call' made by TREC, customer agrees & confirms the Channel Partner's intermediary role.
  15. In the event that the booking of a unit is cancelled/terminated, the Channel Partner shall forthwith within 15 days of such cancellation /termination, refund the commission received from the company for the sale of the unit. In the event that the Channel Partner does not refund the commission to the company, the company shall, without prejudice to its right and remedies, be entitled to adjust/deduct the refundable commission from any other commission payable to the Channel Partner by the company.
  16. In the event of any cancellation, the Channel Partner will not be eligible for any brokerage. Any outstanding in our books of accounts towards the Channel Partner will be deducted from the consideration value that will be refunded to the customer.
  17. The Channel Partner cannot share any pricing details on the behalf of the company in writing with the client nor can send any Email/SMS/ WhatsApp regarding the same. In eventuality of any discrepancy arising, TREC will take preventive action against the Channel Partner.
  18. The Channel Partner is responsible for ensuring that all documents like signed application form, attested KYC documents, attested copies of unit layout and payment schedule etc. is provided to TREC within seven working days, post the booking rules and regulations observed by TREC for the commercial closure.
  19. The price escalations/revisions are at the sole discretion of TREC without any prior notice. Any such increase in price shall be regularly communicated to the channel partner on an as and when basis.
  20. The Channel Partner is not restricted to sourcing of business within India and can source non-resident clients which are based out of India. In a scenario of international sourcing of business, the Channel Partner will be eligible for brokerage and same will be as per the brokerage payout structure relevant for domestic sales (sales within India).
  21. All brokerage will be paid in Indian currency and after deduction of relevant Indian taxes. The payments shall at all times be subject to and valid under applicable Indian policies, laws, order and regulations.
  22. Internationally domiciled Channel Partners will be governed by tax laws of their respective domicile countries and prevalent laws of India.
  23. The Channel Partner is aware that the services provided by the Channel Partner are in nature of Real Estate Agent services and would be liable for GST in India as they are in connection with properties located within India.
  24. For sourcing of business, the Channel Partner in no way will pretend or convey in any way that he/she is representing TREC or is organising, participating and conducting any event, exhibition, sales activity In India or any international market.
  25. p) A Channel Partner will remain 'exclusively mapped' with a particular customer and vice versa for a maximum period of 90 days from the date of their first TREC site/office visit together. However, within the exclusively mapped period, the customer reserves the right to change his/her Channel Partner with a written notification to TREC in such a scenario, TREC will inform the earlier mapped channel partner about change in client mapping as per client instruction. Customer can change his/her Channel Partner without any notification whatsoever beyond the stipulated 'exclusively mapped period’.
  26. The Channel Partner is aware and agrees that as per company’s policy, a background verification of the Channel Partner through third party agencies and/or company employees shall be conducted by the company to verify and confirm the personal, educational, work experience and information provided by the Channel Partner on Registration form. In the event it is brought to the notice of the company that any of information provided by the Channel Partner is false, misleading, incomplete or incorrect, the company, without prejudice to its other rights and remedies, be entitled to cancel the registration of the Channel Partner and all amounts due shall stand forfeited.
  27. The Channel Partner is not authorized to give any statement and/or send any written communication regarding the Company, TREC and/ or its projects in any medium without the prior written permission of the Company. In the event any such instance brought to the notice of the company, the company, without prejudice to the right and remedies of the company, reserves the right to suspend/cancel the registration of the said Channel Partner. This will also result in forfeiture of all outstanding payment due (including commission & other receivables from TREC) in addition to strict legal action by TREC and other partner companies.
  28. The Channel Partner is aware that as per the company’s policies, brokerage shall not be payable for transaction where the Channel Partner himself (Individual & Sole Proprietor), Partners (Partnership firm), Directors/Shareholder (Company) or their family members and/or immediate relatives of the Channel Partners have purchased a unit/s in the projects of the Company (or group companies) and accordingly the terms of payment of brokerage under this agreement shall not be applicable to such transactions. In the event it is brought to the notice of the Company that brokerage has been claimed against the aforementioned transactions, the company, without prejudice to its rights and remedies, shall be entitled to set-off, recover, withhold, adjust or reclaim any such payments due or paid to the Channel Partner under any other transaction. The Channel Partner agrees not to raise any objection or make any claims with regard to such adjustment/set-off and the claims, if any, in this regard shall be deemed to have been waived by Channel Partner.
  29. The name and RERA number of the Channel Partner must be mentioned on the Customer Enquiry form and the Customer Booking/ Application form.
  30. Channel Partner name & DCP/OCP ID should be mentioned on Site Visit form and Customer Application form. The company reserves the right, in its sole discretion, to modify or suspend the term & conditions of this Registration form. I have read and understood the terms and conditions mentioned above and agree to be bound by these terms & Conditions.
